LICENSE AGREEMENT
This is a legal agreement between You or the Organisation on whose behalf you are undertaking the License described below ("Licensee") and Simple Video Making ("Licensor"). This agreement applies to licenses issued via the world wide web and is applicable to online, digital and analogue (physical) delivery of Product.
DEFINITIONS:
For the purpose of this Agreement, the following definitions will apply:
- A "Product" is any template pack purchased through SimpleVideoMaking.com, which is compatible with the Final Cut Pro X software application. Any reference in this Agreement to the Product shall be to each individual item within the Product and also to the Product taken as a whole.
- An “End Product” is any production which is made using any of products purchased from Simple Video Making.
LIMITATIONS OF USE:
Simple Video Making hereby grants you a personal, non-exclusive, perpetual, and worldwide right to use each Product to create an unlimited amount of End Products for yourself or for your clients, and the End Products may be sold. In consideration of such license, you hereby agree to pay Simple Video Making a certain Product fee according to our website rates. Please see our Product pages for current pricing.
You may not:
- Sell, assign, transfer, share, sublicense or otherwise redistribute any Product or the right to use any Product, to any third party, except solely as embodied within an End Product created by you;
- Sell, assign, transfer, share, sublicense or otherwise redistribute any Product in a manner that is competitive with Simple Video Making, including as, or as part of, a digital template;
- Represent, expressly or by way of reasonable implication, that any Product was created by you or a person other than the copyright holder(s) of that Product.
- Use a Product in connection with any media project that is defamatory, or could be considered libellous, obscene, or illegal;
- Use a Product in a manner that infringes upon any third party’s trademark or other intellectual property right, or would give rise to a claim of deceptive advertising or unfair competition; or
- Render the Product through a service that allows a third party to customise a digital or physical product to their specific needs, such as an “on demand”, “made to order” or “build it yourself” service.
OWNERSHIP:
The Product is licensed, not sold. It is provided to the Licensee under the terms of this agreement, which allows for use of Product but does not transfer ownership. No ownership or copyright in any Product shall pass to Licensee by the issuance of the license contained in this Agreement. Ownership remains with Simple Video Making.
Simple Video Making is and remains the owner of all right, title and interest in each Product licensed, including without limitation any copyrights therein. Simple Video Making retains the right to sell licenses to the Products to third parties at its discretion.
WARRANTIES and REPRESENTATIONS:
All Products are provided “as is” without warranty of any kind, either express or implied, including, but not limited to the implied warranties of non-infringement, merchantability, or fitness for a particular purpose.
Notwithstanding the foregoing, Simple Video Making warrants that it has the right to grant the license granted hereunder.
LIMITATIONS OF LIABILITY:
In the event of a claim arising from the use of a Product, Simple Video Making’s total liability to you under this Agreement shall be limited to the fee paid hereunder by you to Simple Video Making for the license to such Product.
In the event that Simple Video Making gets a notice that any Product may be subject to a claim of infringement, upon notice from Simple Video Making, you will immediately stop using the Product, delete or remove the Product from your premises, computer systems and storage (electronic or physical), and ensure that your clients do likewise. In such event, Simple Video Making’s sole obligation will be to provide you with a comparable Product (which comparability will be determined by Simple Video Making in its reasonable commercial judgment) free of charge, but subject to the other terms and conditions of this Agreement.
REFUND POLICY:
Licensee must ensure before purchasing that you are happy with the Product based on the Product description and that it is compatible with your version of the software. Simple Video Making will not provide refunds for Products once the order is completed. There is no refund for change of mind.
Simple Video Making only do refunds if you purchase a Product twice by mistake. In that case, please email us with the transactions information and the total amount will be refunded within 7 business days.
UPGRADE POLICY:
Simple Video Making provides to Licensee unlimited and free of charge updates to new versions of purchased Product.
MISCELLANEOUS:
E-mail address provided when you make payment must be valid as it will be used for Product delivery and communication purposes.
It is strongly recommended to use an email address provided by Google’s e-mail servers. This is because some servers may block the automatically generated email with download link to the Product that you successfully purchase on Simple Video Making’s website. If this occurs, please contact Simple Video Making immediately, and the Product will be re-sent to you manually within 24 hours.
TERMINATION:
The license contained in this Agreement will terminate automatically without notice from Simple Video Making if Licensee fails to comply with any provision of this Agreement. Unauthorised use will result in immediate termination of this license including but not limited to legal action.
Upon termination, Licensee must immediately stop using the Product; destroy the Product; and delete or remove the Product from Licensee's premises, computer systems and storage (electronic or physical) and promptly confirm the same to Simple Video Making in writing.
GENERAL PROVISIONS:
This Agreement shall be governed by and construed according to the laws of the Australia Capital Territory, Australia, and the Parties hereby acquiesce to the jurisdiction of the courts of the judicial district of ACT. The parties hereto have expressly requested that this Agreement and all ancillary documents be drafted in the English language.
Nothing in the present Agreement shall be interpreted as constituting or creating a joint venture or partnership between the Parties. This Agreement shall be to the benefit of and bind the respective heirs, executors, administrators and assigns of the Parties hereto. If any part of this Agreement shall be determined to be invalid or unenforceable by a court of competent jurisdiction or any other legally constituted body having jurisdiction to make such determination, the remainder of this Agreement shall remain in full force and effect.
